1933 delivers rising revenue, suspends CannaHemp business

1933 Industries Inc. (CSE: TGIF)(OTCQB: TGIFF) released its unaudited interim consolidated financial statements for the third quarter ending April 30, 2024 in Canadian dollars.

1933 reported that in the third quarter, its total revenues were C$4.8 million versus C$4.0 million for the same period in 2023. The company attributed the increase to the strength of the AMA brand in Nevada and the upgrades and improvements to the cultivation facility completed in the fourth quarter of 2023.

Cash is low

The company also reported a comprehensive loss of C$142,886 for the quarter versus last year’s loss of C$2.9 million. The company’s cash is dwindling with $638,022 left at the end of the quarter versus C$1.0 million at the end of July 2023.

However, the company announced it plans to complete a private placement that could bring in C$1,800,000.  The company said in its filing that it is raising capital and reviewing various strategic options, including, M&A activity, the sale of certain company assets, and a shift in business focus.

“The increase in revenue, gross margin, and net profit this quarter is a direct result of the strategic measures undertaken over the last year to optimize our cultivation and drive operational efficiencies. While there are always challenges affecting the overall cannabis industry, the Company continues to work towards achieving sustainable profitability, and this quarter was a reliable indication that we are on the right track”, said CEO Mr. Paul Rosen.

“The AMA brand continues to enjoy robust sales in Nevada, with strong brand presence and consumer loyalty. We have been able to achieve this by building trusted relationships with both our customers and our retail clients over the years, and by providing a strong value proposition based on quality, consistency, and high touch customer service”, stated Ms. Ester Vigil, President and Director of Sales at 1933 Industries.

Going concern

1933 told investors in its filing that it has not yet achieved profitable operations and during the nine months ending April 30, 2024, and 2023. The company said it has incurred a net loss of $1,045,209 (2023 – $4,888,444). As of April 30, 2024, the company had an accumulated deficit of $96,970,701 (July 31, 2023 – $95,820,123) and a working capital of $759,274 (July 31, 2023 – working capital deficiency of $4,239,042).

CannaHemp suspended

1933 said in its filing that the company suspended its Canna Hemp CBD consumer packaged goods subsidiary while it assessed the viability of the CBD market going forward. The company said in a statement, “The market demand for hemp-infused CBD products has continued to decrease since the COVID pandemic, primarily due to increased competition, the closure of brick-and-mortar stores, and customers exiting the CBD category. The lack of federal rules on CBD products, and the grey area surrounding the introduction of psychoactive Delta 8 compounds into products under the ambiguity of the Farm Bill continue to erode the traditional CBD market and hinder future growth.”

The company owns 91% of the Alternative Medicine Association (AMA), the company’s cultivation and production subsidiary, and announced that its wholly owned subsidiary, FN Pharmaceuticals plans to buy 9% of the outstanding membership interests of AMA from the company’s former Executive VP and General Counsel, Caleb Zobrist. Upon successful completion of this transaction, FN Pharmaceuticals would own 100% of the membership interest in AMA.

1933 sees uptick in revenue in Nevada

1933 Industries (CSE: TGIF) (OTC PINK: TGIFF) released financial results for its fiscal second quarter, which ended Jan. 31, telling investors that revenue increased sequentially.

1933 reported revenue increased 11% sequentially to C$4.4 million over the first fiscal quarter, but it was slightly lower than last year’s fiscal second quarter revenues of C$4.5 million. The company said this sequential uptick reflected an improvement in the Nevada cannabis market and demonstrated the strength of the AMA brand and its position as one of the top five selling brands in the state.

“Overall, Nevada cannabis retail sales rebounded from the previous quarter, reflecting higher top line sales. AMA flower and pre-rolls gained market share and growth over the reporting period, ranking second as one of the most sold brands by volume,” 1933 said in a statement. “AMA’s solid position in the market highlights its ability to gain shelf space in dispensaries across the state and demonstrates increased consumer preference due to its consistent quality and value.”

However, the company also noted that during the six months period ending Jan. 31, it reclassified its subsidiary, Infused Mfg, as discontinued with operations ending as of May 2024. 1933 said that a key customer stopped purchasing products from the entity and the subsidiary’s operations were no longer profitable.

Overall expenses decreased to C$1.8 million for the quarter from C$2 million in the prior year’s comparable period. Expenses were C$3.7 million year-to-date for the fiscal year 2025 compared to C$4 million for the fiscal year 2024. The decrease from the prior year was primarily due to reduced wages and benefits.

Net loss for the quarter was C$300,000 compared to a net loss of C$600,000 in the second quarter of fiscal 2024. The company is reporting as a going concern. In the company’s financial statements, it noted that, as of Jan. 31, it had an accumulated deficit of C$98.3 million and working capital of C$682,024, compared with C$97.4 million and C$561,576, respectively, as of July 31, 2024.

1933 Industries losses contract year-over-year, but company still in the red

Nevada-based 1933 Industries (CSE:TGIF)(OTC PINK:TGIFF) managed to get its financial losses somewhat under control last year, and this week reported losing only C$600,000 for its 2024 fiscal year, which ended July 31. That’s down from losses of C$14.6 million in its 2023 fiscal year.

Revenue for the full fiscal year was up 15% year-over-year to C$19.3 million, and the company’s gross profit was up to C$2.9 million, as opposed to a gross loss in 2023 of C$1.4 million the year prior, according to the long-delayed financial filing.

The financial turnaround was due to increased cultivation efficiencies, improved market valuations and the strength of its Alternative Medicine Association (AMA) brand, 1933 said in a press release, which led to “record revenues” for the 2024 fiscal year.

During the fiscal year,1933 also discontinued its Canna Hemp CBD product line, which it said had turned into a drag on operational costs “due to the declining CBD market.”

The company’s first quarter 2025 financial filing is expected to be available within five business days, 1933 added.

Earlier this month, CEO Paul Rosen’s resignation went into effect, and the reins were handed to interim CEO Brian Farrell.

As of July 31 last year, 1933 had C$16.8 million in total assets, including C$449,184 in cash, against C$21.7 million in total liabilities.

1933 gets bumped down to the pink sheets

1933 has worked hard to stabilize the company, but that hasn’t been reflected in the stock price.

Despite its best efforts to right the ship, Nevada-based 1933 Industries Inc. (CSE: TGIF)(OTC Pink: TGIFF) told investors that its common stock was moved from the OTCQB Market to the OTC Pink Open Market, as it no longer meets the minimum closing bid price standards for continued eligibility on the OTCQB. The stock trades at a fraction of a penny and the last time the stock managed to trade at one cent was in April of this year.

1933 has been skating on the edge of uncertainty as it valiantly attempts to get its house in order. The company last reported third-quarter earnings in July and at the time reported its total revenues rose slightly to C$4.8 million. The company attributed the increase to the strength of the AMA brand in Nevada and the upgrades and improvements to the cultivation facility completed in the fourth quarter of 2023. It trimmed its losses to C$142,886 for the quarter versus last year’s loss of C$2.9 million.

The company had convertible debentures due December 31, 2023, and it was renegotiated to have a maturity date extended to December 31, 2025. In June 1933 said it was engaging in a non-brokered private placement financing consisting of a maximum of 120,000,000 Units, for $0.015 per Unit, for gross proceeds of a maximum of $1,800,000. The company had previously stated the placement would close in July, but there hasn’t been a confirmation of that.

1933 is hoping that the approval of cannabis consumption lounges in Nevada will boost sales and drive cannatourism. The company believes the lounges will benefit tourists who will spend more.

Cash crunch

In addition to its other challenges, the company is facing a dwindling cash situation. When it reported its third-quarter earnings, the company had only C$638,022 in cash. The company wanted investors that its operating cash flows were not sufficient to meet its working capital requirements and that there was no guarantee that the company would be able to raise additional capital on acceptable terms to fund a potential cash shortfall.
