The recent acquisition of NIC by Tyler Technologies for $2.3 billion has reshaped the government technology landscape. A year after finalizing the deal, the combined entity exhibits notable growth, although the effects of the pandemic and other elements will influence its long-term success. Announced in early 2021, this acquisition united Tyler, a leader in local government software, with NIC, a major player in state government software, marking the largest deal in the government tech sector to date.

The necessity for public agencies to adapt due to COVID-19, alongside their ambitions to digitize and modernize their systems, made this acquisition timely. Recent financial disclosures from Tyler provide a clearer view of the merger’s impact and hint at future developments in government technology as integration progresses.

Financial Growth

In the first quarter of 2022, Tyler reported total revenue of $456.1 million, reflecting a nearly 55 percent increase year-over-year. This figure incorporates revenues from NIC and other acquisitions, while organic revenue grew almost 13 percent—Tyler’s highest in 20 quarters. Subscription revenue soared by nearly 140 percent. NIC’s core revenue also experienced a 13 percent increase, excluding COVID-related sales, as noted by CEO Lynn Moore during the earnings conference call.

Moore highlighted NIC’s growth was primarily driven by new statewide payments contracts in Florida and corporate filings with the Department of State that peak in the first quarter. He also outlined significant NIC contracts, including an enterprise agreement in Alabama and New Jersey and a five-year software-as-a-service deal with Mississippi related to its cannabis licensing platform, valued at approximately $4.3 million.

Expanding Opportunities in Outdoor Recreation

A key highlight following the NIC acquisition is Tyler’s recent purchase of US eDirect, a New York-based company specializing in technology for managing campgrounds and recreation programs. This acquisition integrates US eDirect’s extensive cloud-based management system into Tyler’s NIC payments platform, significantly enhancing Tyler’s outdoor recreation offerings.

Moore stated, “This acquisition greatly expands our outdoor recreation portfolio, enabling us to provide a comprehensive solution that seamlessly integrates with our NIC payments platform.” This offers potential synergies for local sales channels while enhancing service offerings across state and local government operations.

Looking Ahead

Despite the apparent early successes, Tyler’s leadership, including Moore and Bret Dixon, president of Tyler’s State and Federal Group, emphasize the importance of thorough integration of the two firms. Dixon revealed that the company is just beginning to establish face-to-face connections with the broader NIC team, crucial for aligning strategies without disrupting existing business models.

As interest in government payment capabilities escalates, Tyler is preparing to introduce new products responding to identified market needs, promising innovative transaction-based solutions designed specifically for local and state governments.

A Cautious Optimism

Analysts recognize that while the short-term outlook for Tyler’s acquisition of NIC appears positive, it will take time to fully assess its long-term effects. Jeff Cook from Shea & Co. acknowledged the expanded market presence and revenue growth resulting from the acquisition while cautioning about the unique business model of NIC, which relies heavily on fewer, larger state contracts. Success will depend on the renewed contracts and new opportunities secured moving forward.

For Tyler Technologies, the journey is just beginning, as Moore noted that they may still be in the “first inning” of this transformative deal. Continued learning and development between these two firms will likely unlock further potential as they navigate the complexities of government technology and the evolving needs of state and local governments, especially in areas like the burgeoning cannabis licensing domain in Mississippi.
